코스닥 상장사 알에프세미가 M&A 시장 매물로 나온 가운데,잠재적 원매자와 협상을 벌이고 있다.경영권을 포함한 지분을 제3자 배정 유상증자를 통해 매각하는 방식이다.예정대로 진행될 경우 하반기 거래 재개를 기대할 수 있다는 전망이 나온다.

3일 투자은행(IB) 업계에 따르면,반도체 소자 제조 및 판매를 주업으로 하는 알에프세미는 최근 제3자 배정방식 유상증자를 통해 경영권을 포함한 지분율 50% 이상 매각을 추진하고 있다.매각자문사는 삼일PwC가 맡았다.

매각가는 약 200억원이다.인수자는 이를 투입해 지분율 50% 이상(경영권)을 획득하게 된다.유입된 자금은 회사 운전자금 및 기존 사업 확대,신성장 동력 확보 등에 활용할 계획이다.

알에프세미는 지난 2007년 11월 코스닥에 상장했다.하지만 올해 1월 불성실 공시 법인으로 지정돼 3월‘감사의견 거절’로 형식적 상장폐지 사유가 발생했다.현재는 거래가 정지된 상태다.

회사는 이와 관련 국내 대형 로펌을 선임해 대응하고 있는데,IB 업계는 제3자 유증을 통해 최대주주가 바뀔 경우 거래정지 사유가 해소될 것으로 보고 있다.

한편 알에프세미는 1999년 전북 전주에서 설립된 다이오드,트랜지스터 및 유사 반도체 소자 제조업체다.

특히 음성신호를 전기신호로 변환하는 역할을 수행하는 소형 마이크로폰용 ECM 반도체와 전자기기의 회로보호용 TVS(Transient Voltage Supressor) 반도체,고유 반도체 기술을 활용한 LED 조명 모듈을 주로 생산한다.

최근에는 신규사업인 LFP배터리 제조·판매를 통해 매출 증대를 노리고 있다.현재는 5곳 이상 예상 고객사와 공급계약 체결을 위한 협상에 착수한 상태로 알려졌다.

전주에 제1·제2공장을 운영하고 중국 위해와 심천,아르헨티나 등지에도 현지 법인을 보유하고 있다.지난해 대전으로 본사 소재지를 이전했다.임직원은 154명,자본금은 86억9300만원이다.
