이복현 금융감독원장은 "상법상 이사의 충실의무를 '회사 및 주주의 이익 보호'로 확대하는 방안에 대해 사회적 논의가 필요한 시점이 됐다고 생각한다"고 밝혔습니다.

이 원장은 오늘 자본시장연구원과 한국증권학회가 서울 여의도 금융투자협회에서 연 '자본시장 선진화를 위한 기업지배구조' 세미나 축사에서 이같이 말했습니다.

이 원장은 다수의 시장 참여자가 국내 자본시장의 근본적 문제점으로 후진적 기업지배구조를 지적하고 있다면서 쪼개기 상장과 같이 전체 주주가 아닌 회사나 특정인의 이익만을 추구하는 사례가 빈번하게 발생하고 있다고 지적했습니다.

이 원장은 하지만 이사의 충실 의무 범위 확대가 배임죄가 적용되는 형사적 이슈로 번져 경영환경이 지나치게 위축될 수 있는 한국적 특수성은 충분히 고려할 필요가 있다고 강조했습니다.

이를 감안해 이사가 충분한 정보를 바탕으로 합리적으로 경영 판단을 한 경우 민형사적으로 면책받을 수 있도록 한다면 기업경영에도 큰 제약이 되지 않을 것이라고 말했습니다.
