오늘(12일) 주식시장에서는 두산그룹이 도마에 올랐습니다.매년 1조원 규모 영업이익을 내는 두산밥캣을,매년 적자를 내는 두산로보틱스의 자회사로 옮기면서 두산밥캣의 상장폐지가 예고된 겁니다.두산 오너 일가는 별다른 자금 조달 없이 알짜 회사에 대한 지배력을 높이게 됐습니다.

어제 두산이 공시한 사업구조 개편안입니다.

중간지주 격인 두산에너빌리티에서 두산밥캣을 인적분할한 뒤,석계역 야구두산로보틱스 자회사로 편입하는 게 골자입니다.

두산밥캣 주주들은 한주당 두산로보틱스 주식 0.63주를 교환받을 수 있습니다.

두산밥캣은 오는 11월 중 상장폐지됩니다.

굴착기 등 소형 기계를 생산하는 두산밥캣의 지난해 매출은 9조원대,영업이익은 약 1조4천억원으로 그룹내 알짜기업으로 꼽힙니다.

반면 매출 규모 500억원대 두산로보스틱스는 2015년 설립 후 단 한번도 흑자를 내지 못했습니다.

오늘 두산 관련주는 크게 출렁였습니다.

하루 아침에 알짜 기업을 품게 된 두산로보틱스는 24% 급등한 반면 두산에너빌리티는 4%대 하락했습니다.

장초반 급락했던 두산밥캣은 소폭 상승 마감했지만 주주들은 반발하고 있습니다.

한편에선 두산 총수 일가가 별다른 자금 조달 없이 사실상 캐시카우 역할을 하는 두산밥캣 지배력을 높였단 비판도 나옵니다.

[천준범/한국기업거버넌스포럼 부회장 : 일반주주의 희생을 통해서 지배주주의 이익을 높이는 쪽으로 설계가 됐어요.저평가된 회사를 가치를 높이자는 거잖아요.밸류업의 기본적인 전제가 깨지는 거죠.]

두산은 "전통적인 제조업인 밥캣과 큰 성장 가능성을 가진 두산로보틱스 간 시너지를 내기 위한 선택이었다"고 설명했습니다.
