[디지털데일리 최규리기자] 콜마그룹 오너 일가 남매 간의 경영권 갈등이 법적 절차로 번지며 본격화되고 있다.장남 윤상현 콜마그룹 부회장이 이끄는 콜마홀딩스가 차녀 윤여원 사장이 경영 중인 콜마비앤에이치를 상대로 임시주주총회 소집을 법원에 신청한 사실이 9일 확인됐다.

콜마비앤에이치는 이날 "최대주주인 콜마홀딩스가 이사회 개편을 골자로 한 임시주총 소집 허가를 대전지방법원에 신청했다"고 공시했다.이번 신청은 '경영권 분쟁 소송'으로 분류된다.

공시에 따르면 콜마홀딩스는 ▲윤상현 부회장의 사내이사 선임 ▲이승화 전 CJ제일제당 부사장의 사내이사 선임 등 총 2건의 안건을 처리하기 위한 임시주총을 소집해 달라는 요청서를 법원에 접수했다.신청일은 5월 2일,접수일은 5월 7일이다.

윤상현 부회장 측은 최근 콜마비앤에이치의 실적 부진과 주가 하락을 이유로 이사회 재편 필요성을 제기해왔다.그러나 콜마비앤에이치 이사회가 이를 거부하자 법적 수단을 동원한 것이다.

콜마홀딩스는 콜마비앤에이치 지분 44.63%를 보유한 최대주주로,바카라 출목표 어플윤여원 사장은 7.78%의 지분을 갖고 있다.콜마비앤에이치는 건강기능식품 브랜드 '헤모힘' 등으로 성장해온 콜마그룹의 핵심 계열사 중 하나다.
