SK이노베이션과 SK E&S의 합병을 추진 중인 SK그룹이 각사의 독립성을 유지하며 시너지 효과를 내기 위해 사내독립기업(CIC) 합병 방식을 유력하게 검토하는 것으로 확인됐다.

일각에서는 SK이노베이션이 SK E&S를 합병하고,토토 태양성SK E&S의 알짜 자회사인 발전 자회사와 액화천연가스(LNG) 판매사업을 부진의 늪에 빠진 SK온에 붙이는 방식이 거론됐으나 이런 '쪼개 붙이기' 방안은 택하지 않겠다는 것이다.

25일 재계에 따르면 최근 대대적인 사업재편에 나선 SK그룹은 SK이노베이션과 SK E&S를 사실상 통째로 인수·합병하는 방안을 검토 중이며,토토 태양성순탄하게 진행된다면 합병 기일은 11월 1일이 될 것으로 알려졌다.

두 회사의 합병 방안은 SK이노베이션의 전기차 배터리 전문 자회사인 SK온을 살리기 위한 핵심 카드로 평가받고 있다.

연간 1조원이 넘는 영업이익을 낸 SK E&S가 SK이노베이션에 편입되기만 해도 SK이노베이션의 현금흐름과 수익성이 개선돼 자회사 SK온을 지원할 수 있는 여력이 커진다.

다만 피인수 기업의 조직이 녹아들어가는 흡수 합병이나 사업부별로 쪼개 붙이기 방안은 SK E&S의 사업 경쟁력을 훼손할 수 있다는 판단에 따라 SK E&S의 독립경영을 사실상 보장해주는 CIC 방식이 바람직한 방향이라는 견해가 많다.

SK이노베이션의 '우산' 아래에서 SK E&S의 기존 사업 형태를 유지하는 형태가 사업재편의 진통을 줄이는 대안이라고 판단해서다.재계 고위 인사는 "멀쩡한 사업부를 부실 회사에 인위적으로 떼어 붙이는 의사결정은 배임 문제에 휘말릴 수 있다"면서 "회사 임직원 반발을 무마하고 이사회 이사들을 설득할 수 있는 방안은 SK E&S를 무리하게 칼질하지 않는 통결합이 될 것"이라고 말했다.이르면 7월 해당 기업들이 이사회를 열어 인수·합병 방안을 논의하고 의결하는 수순이 될 것으로 보인다.
