국내 온라인 동영상 서비스(OTT) 업체 티빙과 웨이브 합병이 본계약 체결을 앞두고 CB(전환사채)가 걸림돌이 됐다는 평가다.

24일 투자은행(IB)·콘텐츠 업계에 따르면 웨이브는 기업공개(IPO)를 약속하고 빌린 2000억 원을 합병 회사인 티빙이 갚기로 정리가 됐다는 입장이지만,송람 응에안 fc티빙 측 일부 주주가 끝까지 반대하고 있기 때문이다.이대로라면 상반기 내 합병 본계약 체결이 어려울 수 있다는 관측도 나온다.

해당 CB는 웨이브가 2019년 11월 말 재무적 투자자(FI)인 미래에셋벤처투자프라이빗에쿼티(PE)와 SKS PE부터 투자받은 금액으로 2023년 11월까지 IPO 착수 약정 후 체결한 계약이다.웨이브는 작년 말 기준 이 CB의 장부금액을 2231억 7757만 원으로 책정해뒀다.

지난달 29일 티빙과 웨이브의 최대 주주인 CJ ENM(48.9%)과 SK스퀘어(40.5%)는 FI와 합의해 신설될 합병 법인에 이 CB를 넘기기로 결정했다.SK스퀘어가 당장 거액의 상환금을 지출하지 않는 대신 신설 합병 법인의 지분율을 낮게 책정하는 쪽을 택했다는 평가다.

그러나 티빙의 주주 구성이 CJ ENM을 제외하고도 KT스튜디오지니(13.5%),젠파트너스앤컴퍼니(13.5%),송람 응에안 fc에스엘엘중앙(12.7%),송람 응에안 fc네이버(10.7%) 등으로 복잡해 개별 주주의 이해관계가 엇갈리고 있다.

양측이 합병한다면 티빙이 웨이브를 흡수 합병하는 방식이 유력할 것으로 보인다.시장 지배력 측면에서도 티빙의 월간 활성 이용자(MAU) 수는 731만 명으로 웨이브(425만 명) 대비 72% 많다.재무건전성도 티빙의 작년 말 부채비율은 47.7%지만 웨이브는 순자산이 자본금보다 더 적은 '완전자본잠식' 상태다.웨이브는 지난해 804억 원 영업손실을 냈고,작년 말 기준 부채는 3212억 원이다.
