한화에어로스페이스(012450)가 주주총회를 열고 자회사인 한화비전과 한화정밀기계를 떼어내는 인적 분할안을 승인했다.한화에어로스페이스는 주력 사업인 방위·항공 분야 사업에 집중하고 한화비전과 한화정밀기계는 독자 경영 체제를 구축해 전문성을 강화한다는 방침이다.

한화에어로스페이스는 14일 경기 성남시 성남상공회의소에서 임시 주주총회를 열고 이 같은 내용을 담은 '분할계획서 승인의 건'을 통과시켰다고 밝혔다.앞서 한화에어로스페이스는 5월 관련 방침을 공시한 바 있다.

이에 따라 한화에어로스페이스는 인적 분할을 통해 지주회사인 '한화인더스트리얼솔루션즈'(가칭)를 신설한다.한화비전과 한화정밀기계는 100% 자회사로 이 신설 지주회사에 소속된다.한화비전은 글로벌 영상 보안 솔루션 사업,2024 프로야구 팀당 경기수한화정밀기계는 반도체 장비 사업에 집중한다.

한화에어로스페이스와 신설 지주회사의 분할 비율은 9대 1로 정해졌다.㈜한화는 합병 후 한화에어로스페이스와 한화인더스트리얼솔루션즈 지분을 각각 33.95% 보유하게 된다.한화그룹은 이번 인적분할을 통해 한화에어로스페이스,2024 프로야구 팀당 경기수한화시스템(272210),한화오션(042660) 3사 중심의 방산 기업 체제를 구축하게 됐다는 입장이다.손재일 한화에어로스페이스 대표이사는 주총 모두발언을 통해 "루마니아,폴란드 등에서 대규모 수주에 성공하고 차세대 우주 발사체 주관 제작사로 선정되는 등 방산과 항공우주 분야에서 명실상부한 한국 대표 기업으로 자리매김했다"며 "글로벌 초일류 방산기업으로 도약하고 항공우주 및 뉴모빌리티 시장을 선도하겠다"고 말했다.
