[서울=뉴시스] 박은비 기자 = 한미약품그룹 모녀 경영진이 한미사이언스 경영권 분쟁에서 우위를 점하면서 한미사이언스 주가가 6%대 강세다.

4일 한국거래소에 따르면 한미사이언스는 전 거래일 대비 2050원(6.58%) 상승한 3만3200원에 거래를 마쳤다.전날까지만 해도 2거래일 하락세였던 주가는 장중 14% 가까운 상승세를 나타냈다.

한미약품도 상승 출발해 장중 28만8500원까지 뛰었지만 이내 하락 전환해 2000원(0.71%) 내린 27만8500원에 장을 닫았다.

한미사이언스 강세는 전날 장 마감 후 송영숙 한미약품그룹 회장과 임주현 부회장이 경영권 분쟁 당시 반대편인 장·차남 임종윤·종훈 사내이사 측에 섰던 신동국 한양정밀 회장과 손을 잡았다는 소식이 전해진 영향이다.신 회장은 한미사이언스 개인 최대주주다.

송 회장 측 법률법인 법무법인 세종은 송 회장과 임 부회장의 일부 지분 6.5%(444만4187주)를 신 회장이 매수한다고 발표했다.양측은 이같은 주식매매계약을 체결하고 공동으로 의결권을 행사하는 약정 계약을 체결했다.

이에 따라 신 회장은 세 사람이 직접 보유한 약 35% 지분 외에도 직계가족과 우호 지분까지 더해 한미사이언스 전체 의결권의 과반에 근접하는 수준의 지분을 확보하게 됐다.

이번 계약으로 송 회장과 임 부회장은 상속세를 납부할 재원을 마련하고 소액주주들의 정당한 주식 가치 평가를 방해했던 오버행 이슈도 해소할 수 있게 됐다는 게 송 회장 측 설명이다.

송 회장과 임 부회장은 지난 3월 OCI그룹과의 수평적 통합을 추진했지만 주주들의 선택을 받지 못하면서 불발됐다.당시 정기주주총회에서 임종윤·종훈 사내이사가 추천한 이사 5명이 선임되면서 이사회 과반을 차지했지만 당시 형제들 편에 섰던 신 회장이 입장을 달리하면서 국면이 전환됐다.
