한화리츠(451800)가 그룹의 핵심 부동산인 서울 장교동 한화빌딩(사진)을 품는다.포트폴리오 다변화로 배당 재원을 확대하는 한편,자산 규모도 두 배로 키워 국내 대형 리츠로 도약할 수 있는 발판을 마련했다는 평가다.

8일 한화리츠는 한화생명(088350)으로부터 이 빌딩을 8080억 원에 인수할 예정이라고 공시했다.차입과 사채 발행 등으로 자금을 조달해 다음달 28일 현금을 일시 완납한다는 계획이다.

한화리츠는 현재 서울 여의도 한화손해보험(000370) 사옥과 한화생명의 노원·평촌·중동·구리 사옥 등 5개 자산을 편입하고 있다.편입한 자산의 전체 규모는 7104억 원이다.자본으로 3530억 원,2024년 04월 17일 워싱턴 내셔널스 LA 다저스대출 등으로 3631억 원을 조달했다.이번 인수가 끝나면 총자산은 1조5000억 원을 넘어설 전망이다.

현재 국내에선 ▲SK리츠(395400)(자산 규모 4조3000억 원) ▲ESR켄달스퀘어리츠(365550)(2조3400억원) ▲롯데리츠(330590)(2조 3100억 원) ▲제이알글로벌리츠(348950)(2조500억 원) ▲신한알파리츠(293940)(2조 원) 등이 대형 상장 리츠로 꼽힌다.한화리츠는 앞으로도 한화그룹이 보유한 여러 부동산 자산을 추가 인수할 예정인 만큼 이들과 어깨를 나란히 할 수 있을 전망이다.

일각에선 한화그룹이 한화리츠에 부동산을 다소 비싸게 넘기는 것 아니냐는 평가도 나온다.당초 시장에선 장교 빌딩의 매매가를 7000억 원 안팎으로 추정해왔다.그러나 지난 3일부터 이날까지 자산 가치 평가에 임했던 삼덕회계법인은 이 빌딩의 가치를 8000억 원대 초반으로 분석했다.앞서 한화생명은 2011년 이 빌딩을 한화케미칼(현 한화솔루션)로부터 4141억원에 인수한 바 있다.

현재 한화리츠의 최대주주는 지분 46%를 보유한 한화생명이다.한화투자증권과 한화자산운용도 각각 1.5%,1.3%씩 지분을 갖고 있다.이 밖에 미래에셋자산운용(17.2%),코람코주택도시기금위탁관리부동산투자회사(8.5%),2024년 04월 17일 워싱턴 내셔널스 LA 다저스교보생명(5.7%) 등이 외부 주주다.소액주주는 지분율은 약 20%다.
