누적 자사주 소각 비율 9.93%…"행동하는 기업으로 거듭날 것"콜마그룹의 지주사인 콜마홀딩스가 자사주 6.73%(247만3261주) 소각에 나선다고 26일 밝혔다.이로써 콜마홀딩스의 누적 자사주 소각 비율은 9.93%가 됐다.이번 자사주 소각은 국내 상장사 중 세 번째 이행,지주회사 및 화장품 업계 최초 사례다.

콜마홀딩스는 이날 이 같은 내용과 함께 기업들의 자발적인 기업가치 제고와 주주환원을 위한 '기업가치 제고 계획(밸류업)'을 공시했다.

기업가치 제고 계획은 정부가 저평가된 국내 증시의 문제점을 해결하고자 시행하는 '기업 밸류업 프로그램'의 일환이다.기업 현황 진단을 포함해 주주환원 정책,하리스 세페로비치자본관리 계획,하리스 세페로비치자산재무구조화 등의 주주가치 제고 계획을 공시한다.

콜마홀딩스는 이번 프로그램을 위해 주요 재무 및 비재무 지표를 분석하고 중장기 목표를 수립했다.지난해 7월 발표한 주주환원정책에 따라 비경상이익을 제외한 당기순이익 50% 이상 주주환원을 예정한 바 있다.여기에 비정기적으로 발생하는 일회성이익(비경상이익)에 대해서도 일정 비율로 자사주 매입 및 소각,하리스 세페로비치분기배당 등으로 활용한다는 계획이다.

기업지배구조 핵심 지표 준수율도 현재 66.7%에서 86.7%까지 끌어 올려 주주가치를 제고한다는 목표다.

이를 위해 외국인이나 기관투자자들을 이사회에 참여시켜 지배구조를 선진화하고 감사위원회,하리스 세페로비치내부거래위원회도 선제적으로 도입할 계획이다.

이외에도 개인 및 해외,하리스 세페로비치기관투자자를 위해 안내자료 제공 영문공시 제출 확대,하리스 세페로비치기관투자자 대상 정기간담회 확대를 통해 주주와의 소통도 강화할 방침이다.

콜마홀딩스 관계자는 "매년 기업가치 제고 계획을 밝혀 주주들을 비롯해 동시에 말로만 끝나는 것이 아닌 행동하는 기업으로 거듭날 것"이라고 말했다.
