업프론트 1500만달러 반환 의무는 없어

아티바 바이오테라퓨틱스가 MSD와 2조원대 공동 연구개발 계약을 해지했다.사진은 GC녹십자 셀센터./사진=GC녹십자 제공 지씨셀의 미국 관계사 아티바 바이오테라퓨틱스가 미국 글로벌 제약·바이오 회사 MSD와 2021년 체결한 '키메릭 항원수용체-자연살해'(CAR-NK) 치료제 공동 연구개발 계약을 해지했다.

지씨셀은 "해당 계약의 메인 스폰서인 MSD가 내부 의사결정을 통해 아티바와 체결한 공동연구개발 계약을 해지했다"며 "해당 계약 해지에 따라 아티바는 지씨셀과 체결했던 리서치 업무계약의 해지를 통보했다"고 25일 공시했다.

그러면서 "계약 유효기간 동안 리서치 용역 제공을 완료했으며 이에 따라 수취한 업프론트 1500만달러(208억여원)는 반환 의무가 없다"고 덧붙였다.

앞서 지씨셀은 2021년 1월 아티바와 함께 MSD를 상대로 2조원대 기술수출에 성공했다.개발에 성공할 경우 지급되는 계약의 전체 규모는 18억6000만달러(약 2조5800억원)였다.
